Your tasks
Your key responsibilities include:
- Legal Strategy: Develop and implement the company's legal strategy in alignment with its business goals.
- General Contract Law: Drafting and updating of all legal company documents (e.g. Client Contracts, rental agreements, Non-disclosur agreements, General terms and conditions)
- Contract Negotiation: Oversee and negotiate various contracts, including SaaS, software and subscription licenses, maintenance agreements, partnerships, vendor agreements, and customer contracts.
- Compliance: Ensure the company's compliance with local and international laws and regulations, including intellectual property, data privacy, and cybersecurity laws.
- Litigation Management: Manage and oversee any legal disputes, litigation, or legal proceedings involving the company.
- Risk Assessment: Identify and assess legal risks associated with business activities and develop strategies to mitigate them.
- Corporate Governance: Advise on corporate governance matters, including board of directors' responsibilities and corporate policies.
- Regulatory Affairs: Stay updated on regulatory changes affecting the software industry and ensure compliance with relevant industry regulations.
- Data Privacy: Oversee data protection and privacy compliance, especially where the software handles personal or sensitive data.
- Employment and Social Security Law: Provide guidance on employment law matters, including labor relations, employee contracts, and HR policies.
- Mergers and Acquisitions: Assist in due diligence and legal aspects of mergers, acquisitions, and partnerships.
- Ethics and Compliance: Promote a culture of ethics and compliance throughout the organization.
Our requirements
- Degree in Law (Mlaw/lic.iur.) , Swiss Bar Exam or LL.M,active membership in the Swiss Bar Association.
- Extensive legal and contract negotiation experience, with a focus on technology and software.
- Strong knowledge of software licensing, intellectual property, and data privacy laws.
- Excellent negotiation, communication, problem-solving skills and ability to convey legal matters in terms understandable to non-legal colleagues.
- Leadership and management experience, as this role may grow to oversee an in-house legal team.
- Ability to work collaboratively with other departments and executives to achieve company goals.
