Senior Transaction Manager – Corporate Solutions Ireland

The Role & Key Responsibilities:
Apex IFS is looking for a highly motivated individual to join its Transaction Management team. The role acts as one of the first points of contacts for clients and advisors in relation to a new transaction closing. The Transaction Manager role is crucial to building and developing strong client and intermediary relationships which ultimately leads to revenue for the business. The successful candidate will perform technical and legal reviews of transaction documents on behalf of Apex and the client entity. These reviews ensure all services and obligations are identified and should be performed in a timely manner ensuring an efficient transaction closing. The individual will also act as a client Director on certain client entities to maintain client relationships.
Responsibilities:
- Reviewing and negotiating transaction documentation for a wide range of structured finance and aviation finance transactions including repackaging, ABS, MBS, securitisations, aircraft leasing, CLOs, profit participating note transactions, loan origination platforms, direct lending, and bespoke financing transactions, primarily from the perspective of the client entity and the business
- Ensuring that the impact of regulations affecting the client entities and the business are considered in full and that Apex Group and the clients are positioned to fulfil their obligations.
- Ensuring compliance with internal policies and procedures, particularly in respect of the transaction set-up and onboarding, including escalations to the internal stakeholders such as internal risk, compliance and legal where necessary.
- Co-ordinating transaction closing including providing directors with a full overview of the transaction, arranging board meetings and execution of documents, and liaising with legal counsel, transaction arrangers, agents and other Apex departments to ensure a smooth closing.
- Ensuring efficient handover of a transaction to the client services and operations teams post-closing and providing ongoing assistance throughout the life of the transaction to ensure obligations are met in accordance with transaction documents.
- Reviewing transaction documentation in respect of amendments, tap issuances, restructurings, defaults, and terminations.
- Acting as a director of client entities for varying structured finance and aircraft leasing transactions.
- Liaising with legal counsel, clients, and agents in varying jurisdictions.
- Participation in regular business development conference calls and initiatives with a view to maximising the new business pipeline. Seeking growth and cross-selling opportunities.
- Working closely with senior management to promote and grow the business.
- Sharing information and providing training, guidance, advice and assistance to other teams as required.
- Ad-hoc project work, as required, including the assessment of new legislation relevant to client SPVs.
- Understanding and speaking knowledgably about Apex Group services and its values.
Qualifications and Skills Required:
- 5+ years industry experience within capital markets and aviation demonstrating an understanding of a broad range spectrum of structured finance and aviation finance structures.
- Legal background preferable, but not essential.
- Knowledge of corporate governance, relevant local laws and regulatory requirements would be a distinct advantage
- Highly self-motivated with an ability to work on own initiative.
- Ability to thrive in a fast paced and dynamic work environment.
- Strong organisational skills with a keen attention to detail.
- Excellent interpersonal, communication and relationship management skills.
