Job Description: Company Secretary

Overview
As a member of the Company Secretarial (COSEC) Team, the incumbent will work closely with other team members to provide administrative, compliance, and regulatory support to overseas client companies. The role involves ensuring adherence to applicable laws, regulatory frameworks, internal policies, service levels, and company standards, with a strong focus on meeting client expectations.
Key Responsibilities
- Handle statutory compliances and filings under the Companies Act, 2013 and LLP Act.
- Understand and manage compliances under IFSCA Regulations and the SEZ framework for client entities at GIFT SEZ.
- Assist with provisions and compliances related to Alternative Investment Funds (AIFs) in India and liaison with SEBI and other regulators.
- Coordinate with clients for setting up entities at GIFT SEZ under IFSCA Regulations.
- Liaise with regulators, authorities, and external vendors as required.
- Manage compliances related to Annual General Meetings (AGMs) and other statutory meetings of client companies at GIFT SEZ.
- Attend Board Meetings and prepare notes for drafting board resolutions and minutes, ensuring timely approval and execution.
- Maintain, update, and renew regulatory and statutory records, including registers, returns, licenses, registrations (FIU, LEI), certificates (RCMC, IEC), insurance documents, and other regulatory filings.
- Prepare and submit applications, forms, and documentation, including uploading and downloading required records on relevant portals.
- Maintain internal and client-specific trackers, ensuring data accuracy, integrity, and confidentiality.
- Provide administrative and regulatory support to the Client Services Team and COSEC Team as required.
Required Skills & Competencies
- Strong drafting skills, including agendas, resolutions, minutes, reports, and agreements.
- Ability to quickly understand and apply new compliance frameworks relevant to GIFT SEZ.
- Strong work ethic with a detail-oriented and results-driven mindset.
- Flexible and adaptable approach to learning new systems and processes.
- Ability to manage tight deadlines with excellent time management and multitasking skills.
- Strong interpersonal, verbal, and written communication skills.
- Team-oriented with sound analytical, problem-solving, and organizational abilities.
- Ability to work independently with minimal supervision in a fast-paced, dynamic environment.
- Proficient in MS Office (Outlook, Word, Excel, PowerPoint).
Qualifications
- Qualified Company Secretary (mandatory).
- LLB / LLM will be an added advantage.
