We are seeking a highly experienced and proactive Senior Manager (Vice President - Level 3) to join Apex's Capital Markets team. This role is responsible for managing the corporate administration function across a portfolio of capital markets and structured finance entities.
The successful candidate will be a technically strong, detail-oriented, and commercially aware professional with extensive experience in corporate administration, governance, and transaction management. You will oversee transaction closings, maintain statutory and corporate records, coordinate regulatory and tax reporting obligations, and act as a trusted point of contact for client directors, legal counsel, intermediaries, and internal stakeholders.
You will play a key role in ensuring entities are administered accurately, efficiently, and in accordance with applicable legal, regulatory, governance, and client requirements, while also leading, mentoring, and developing team members within the function.
Key Responsibilities
Develop and maintain a detailed understanding of assigned client portfolios, transaction structures, statutory obligations, governance requirements, and entity-specific considerations.
Serve as the primary point of contact for clients, proactively identifying potential issues and providing practical solutions.
Partner with Team Managers, Client Directors, and Assistant Client Directors to ensure all regulatory obligations and client deliverables are completed accurately and within agreed deadlines.
Maintain and monitor workflows, diary notes, and entity summaries to support effective portfolio management.
Deliver a high standard of client service, consistently meeting and exceeding client expectations.

Manage the full corporate administration lifecycle for capital markets entities, including:
Transaction closings
Entity onboarding
Post-closing activities
Ongoing corporate maintenance
Restructurings and amendments
Entity exits and terminations
Maintain accurate statutory records, minute books, shareholder registers, beneficial ownership records, entity summaries, and corporate databases, ensuring records remain complete, current, and audit-ready.
Liaise with legal counsel, transaction parties, registered agents, administrators, auditors, banking institutions, and other intermediaries regarding corporate actions and ongoing administration.
Prepare, coordinate, and review board and shareholder resolutions, minutes, written consents, officer certificates, incumbency certificates, registers, and related corporate documentation.
Coordinate and monitor FATCA, CRS, Economic Substance, annual returns, regulatory submissions, and other periodic filings, ensuring deadlines are met and exceptions appropriately escalated.
Manage entity liquidation, termination, and exit processes.
Ensure all services are delivered in accordance with company policies, procedures, and service level agreements.
Support new business initiatives and client onboarding activities.
Contribute to strategic and operational projects across the business.
Ensure client information is accurate and maintained at all times.
Produce accurate and timely management information and reporting as required.
Supervise and mentor Corporate Administrators, Senior Administrators, and junior team members.
Oversee adherence to internal controls, policies, procedures, and service standards.
Build and maintain strong relationships with clients, internal stakeholders, and cross-jurisdictional teams.
Partner closely with Client Directors and Assistant Client Directors to manage expectations and deliver exceptional client service.
Contribute to the overall management and continuous improvement of the team and business.
Identify, escalate, and report risks, compliance concerns, legal or regulatory issues, and client complaints to senior management in a timely manner.
Complete all mandatory compliance and regulatory training within required timescales.
Conduct all activities in accordance with applicable legal, regulatory, and company requirements.
Skills & Experience
To be considered for this role, you must have:
A minimum of 6 years' experience within fund administration, corporate services, financial services, legal services, or a related industry.
A Bachelor of Laws (LLB), Bachelor of Commerce (BCom), Corporate Governance qualification, or equivalent business-related degree.
Strong experience in corporate administration, corporate governance, fiduciary services, legal services, company secretarial functions, or structured finance administration.
Experience working with capital markets, structured finance, or special purpose vehicle (SPV) structures would be highly advantageous.
Admission as an attorney or legal practitioner would be considered a strong advantage.
