The Role & Key Responsibilities:

Supporting the Head of Corporate Solutions in ensuring the efficiency of the section and that all processes undertaken are in line with the Company’s procedures. Acting as a role model for members of staff within the team (both local and Centre of Excellence) and executing the duties of the role diligently and professionally. Building friendly and interpersonal relationships at all levels and undertaking responsibility for a portfolio of the Company’s clients.

A sound knowledge of Company Secretarial tasks with an ability to apply the relevant regulations and rules associated with Apex’s business activities is essential. Be a confident leader, with the capability to disseminate knowledge and expertise to others which will drive a culture of continuous improvement though apprenticeship and openness, and contribute to the ongoing high performance of the section.

  • All work undertaken within the team complies with relevant fund and corporate documentation and relevant regulatory requirements and anti-money laundering regulations.
  • Monitor and appraise members of the team.
  • Ensure all members of the team are following Company procedure at all times, identifying and suggesting procedural improvements where appropriate.
  • Promote excellent relationships with clients of the Company and their non-executive directors.
  • Build effective relationships between individual team members and guide others in doing the same.
  • Motivate and empower the team by building their capabilities.
  • With support from the Head of Corporate Solutions, take the lead in developing and assessing team member objectives.
  • Deputise if required during Head of Corporate Solutions absences or wider team capacity issues.
  • Provide cover to other sections in times of need.
  • Manage, control and co-ordinate own workloads and workloads of others in the section.
  • Assist in maintaining service level agreements and corresponding Key Performance Indicators, identifying performance trends, and suggesting strategies to increase quality and productivity within the department.
  • Oversee the day to day work and training of team members.
  • Be central to the oversight of quality and control of section work and meeting tight deadlines.
  • Ensure work is undertaken in accordance with the Company’s procedures and checklists and meets deadlines.
  • Assist in ensuring all outgoing correspondence and presentation of work is of the highest standard.
  • Liaise confidently and knowledgably with clients and act as an escalation point where required.
  • Liaise with key personnel in client groups to ensure that all Company Secretarial related operational issues are communicated effectively and disseminate feedback to the Head of Corporate Solutions with any related recommendations.
  • Assist with ensuring all client requests directed to the team are responded to effectively and in timely manner.
  • Communicate any client related issues of concern to the Head of Corporate Solutions and the appropriate Client Relationship Managers.
  • Attend and participate actively in regular team meetings, driving key agenda items and assisting in implementation of decisions.
  • Act as a Signatory.

Technical

  • Understand, assist and delegate elements of new business processes, receiving assistance from appropriate members of the team.
  • Ensure maintenance of relevant statutory, regulatory and governance knowledge that may impact Apex and its clients and lead best practise by disseminating relevant updates to non-executive directors and clients when appropriate.
  • Encourage team members to assist and advise the clients’ boards of directors on corporate governance matters, providing guidance where appropriate.
  • Ensure that the clients policies, procedures and corporate documents are updated in line with relevant regulatory or statutory changes, and oversee staff in achieving this.
  • Oversee staff co-ordinating and arranging board meetings of general partners of funds, listed companies, and other entities and ensure that all AGM’s, proxies and notices are of a high standard and dispatched in a timely manner.
  • Maintain quality and control of processes and oversee the team in meeting deadlines for meetings.
  • Attend key board meetings, assist with staff with the taking of minutes and presentation of reports.
  • Oversee the team’s smooth running of the company secretarial elements of the investment, call and distribution processes, including preparation for board meetings and minutes.
  • Arrange and drive internal meetings with relevant personnel to establish the required tasks and deadlines to be undertaken internally once investment recommendations have been received and formulate any required efficiencies from oversight of the outcomes.
  • Assist with leading the on-going review and updating of company secretarial and corporate services procedures for the team.
  • Ensure the compliance monitoring of the funds and other entities serviced are adhered to by team members at all times.

Skills Required:

  • Have supervisory or management experience working with a financial institution, preferably with exposure to private equity and, stock exchange listed structures.
  • Proactive approach to problem solving and the ability to develop the same quality in others.
  • A confident manner and the ability to effectively lead communication with clients, non-executive directors and service providers.
  • A flexible approach to work, good time management skills and the ability to instil the same qualities in team members.
  • A strong team player and leader with a commitment to delivering outstanding client service.
  • An ability to work on own initiative and develop the leadership and supervisory skills of less experienced staff.
  • An ability to work under pressure and support team members with meeting tight deadlines.
  • Strong IT skills.
  • Target Professional Qualifications – Qualified CGI (formerly ICSA) (or equivalent), ACA, ACCA, CIMA, legal qualification or similar.
