Senior Corporate Officer

As a Senior Corporate Officer at Apex Group Ltd in Amsterdam, you will play a pivotal role in our Corporate Services Department. This position demands professional and comprehensive experience in Dutch corporate law, governance, and administration. You will be responsible for managing a portfolio of clients and ensuring the delivery of high- quality corporate services. You maintain daily contact and relationships with (key) clients, external advisors, and other stakeholders, but you may also manage colleagues in Global Support Centers within the Apex Group. The role requires exceptional attention to detail, the ability to manage multiple projects simultaneously, and a strong commitment to client satisfaction.
Responsibilities:
- Oversee and manage a diverse portfolio of client companies, ensuring compliance with local regulations and corporate governance standards.
- Prepare and review legal and corporate documents, such as minutes, resolutions, and contracts.
- Coordinate with clients, notaries, lawyers, and other professionals in the execution of corporate actions and transactions.
- Ensure the timely preparation and filing of statutory returns and maintenance of statutory records.
- Provide guidance on corporate governance, compliance issues, and changes in legislation to clients.
- Assist in the onboarding of new clients, including conducting due diligence and KYC procedures.
- Mentor and supervise junior staff, providing training as necessary to ensure high levels of competency and performance within the team.
- Work closely with other departments to provide comprehensive corporate services
and support business development activities.
- Participate in client meetings and calls, offering expert advice and building strong client relationships.
Requirements:
- Bachelor’s or Master’s degree in Law, Business Administration, or a related field.
- A minimum of 5 years of experience in a similar role, preferably within a corporate services provider or legal firm environment.
- Extensive knowledge of Dutch corporate law and compliance regulations and standards (e.g. AML, KYC), in particular Wet Toezicht Trustkantoren 2018 (Wtt 2018) and Wet ter voorkoming van financieren van terrorisme (Wwft).
- Excellent verbal and written communication skills in English; knowledge of Dutch or any other language is a plus.
- Strong analytical, organizational and project management skills, with the ability to prioritize tasks and deliver under tight deadlines.
- High level of professionalism, ethical standards, and discretion.
- Proven ability to work effectively both independently and as part of a dynamic team, with a sense of responsibility and committment.
- Strong interpersonal and client management skills, with the ability to engage with clients at all levels.
