THE ROLE
We are seeking a versatile and highly-skilled Corporate Counsel to manage a blend of commercial, privacy, and product legal matters. Reporting to the General Counsel, this role is a critical individual contributor who will serve as a primary legal partner to our sales, product, and engineering teams. The ideal candidate is a proactive problem-solver with a strong business acumen who can handle a wide variety of legal challenges independently. This is a fully remote position based in the Pacific Time Zone, covering North America and parts of APAC/ASEAN.
RESPONSIBILITIES
Commercial Contracting:
- Draft, review, and negotiate a high volume of a wide variety of outbound and inbound commercial agreements, including SaaS agreements, NDA’s, DPAs, license agreements, professional services agreements, and reseller/partner agreements.
- Independently lead negotiations with customers of all sizes, from small businesses to global enterprise clients (5,000+ employees), to finalize terms that are both business-friendly and legally sound.
- Review and negotiate vendor agreements in support of the Procurement function.
- Provide expert legal advice and strategic guidance to the sales team on complex deal structures, contract terms, and risks.
- Develop and maintain our standard contract templates, playbooks, and internal guidance documents to increase efficiency.
Privacy, Data Security & AI:
- Serve as a key resource on global AI, data privacy, and security laws, including the EU AI Act, GDPR, CCPA/CPRA, and other relevant regulations.
- Draft, review, and negotiate Data Processing Agreements (DPAs) and other data privacy-related terms in contracts with customers and vendors.
- Collaborate with legal team colleagues and the product and engineering teams to conduct Privacy by Design reviews for new features and products to ensure compliance with privacy laws.
Product Counsel:
- Provide practical and risk-based legal guidance to our product and engineering teams throughout the product development lifecycle.
- Advise on legal issues related to intellectual property, AI, open-source software, terms of service, and user-generated content.
- Help navigate the legal implications of new technologies and product features as they are developed and launched.
QUALIFICATIONS
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in at least one U.S. state.
- Minimum of 4-6 years of relevant legal experience, with at least 2+ years of in-house experience at a technology or software company.
- Demonstrated experience with a high volume of commercial contract negotiations for both SMB and enterprise-level clients.
- Proficiency in global data privacy and security laws (GDPR, CCPA), with direct experience drafting and negotiating DPAs.
- Familiarity with the legal aspects of software product development and intellectual property.
- Familiarity with supporting Salesforce-native applications and/or managing partnership(s) with Salesforce is highly desirable.
- Experience supporting commercial customers in APAC markets (B2B) is a plus.
- Strong ability to work independently, manage multiple priorities, and meet deadlines in a fast-paced, high-growth environment.
- Exceptional communication and interpersonal skills, with the ability to translate complex legal issues into clear, actionable business advice for non-legal stakeholders.
- A pragmatic, solutions-oriented mindset and a strong sense of ownership.
- Experience in the software or technology industry is highly desirable.
- Proficiency with industry-leading Legal Operations tools, such as Ironclad, as well as emerging AI tools (e.g. Harvey, GCAI, Ivo, Spellbook) is a strong plus.
