Job Summary

As an Associate Contracts Manager specializing in Commercial Contracts at DigiCert, you will play a pivotal role in structuring, drafting, and negotiating technology, distribution, licensing, and other commercial agreements. You will also assist with related activities that support the legal framework of our global operations. This position may require some travel.

What you will do

  • Draft review, and negotiate a variety of agreements, including software as a service (SaaS), software licensing, and other customer-focused agreements.
  • Collaborate with partnership teams to structure and document partner and distribution relationships effectively.
  • Handle ancillary legal documents, such as NDAs, privacy agreements, and security agreements, ensuring they align with company policies and legal standards.
  • Analyze and respond to internal and customer inquiries with solutions that balance legal risk and business objectives.
  • Ensure all contracts comply with industry standards and technical product requirements, and company policies.
  • Provide guidance to internal teams, guiding them through legal issues and help them resolve conflicts.
  • Collaborate with internal stakeholders to develop, maintain, and improve standard contract forms, templates, and legal processes.
  • Drive operational efficiencies by refining contract request guidelines and workflow processes, ensuring they align with business needs while minimizing risks.
  • Support contract administration tasks, including assignment processes, signature protocols, and contract activation.
  • Manage and meet internal SLAs and help juggle priorities in a fast-moving environment.
  • Engage with sales operations and other internal stakeholders to evaluate and manage risk, resolve contractual issues, and provide legal input on cross-functional projects.

What you will have

  • Strong drafting and communications skills
  • Bachelor’s degree or equivalent educational experience
  • 3+ years of related experience and/or training, or equivalent combination of education and experience
  • Experience with contract negotiation, interpretation, and administration
  • Excellent business acumen and well-developed problem-solving abilities
  • Strong work ethic, a “hands on” mentality, accountability, and the ability to work in a fast-paced, evolving business environment
  • Strong interpersonal skills for managing competing internal and external relationships and interests
  • Keen diplomatic instincts and customer service mentality
  • Adaptable; flexible, and comfortable with uncertainty and ambiguity

Nice to have

  • Previous technology/commercial drafting and negotiating experience
  • Knowledge or experience in data security and privacy
  • Knowledge of or experience with digital certificate industry
