Reporting to the Chief Financial Officer, we are looking for an experienced Global Tax Manager to take ownership of the Group’s tax affairs and act as the central point of expertise for direct and indirect tax matters across our international operations.
This is a newly created senior role with a broad remit spanning tax compliance and reporting, acquisitions, financing, transfer pricing, internal due diligence and statutory accounting. The successful candidate will work closely with senior leaders across the Group and play an important role in supporting our continued growth and acquisition activity.
The Global Tax Manager will manage a panel of external tax and professional advisors while retaining oversight, judgement and technical expertise in-house. The role will work closely with the CFO, Group and regional Finance teams, Group Legal and Company Secretarial, as well as external tax and transfer pricing advisors, legal counsel, corporate finance and deal advisors, auditors and revenue authorities.
There are no direct reports initially, with the potential to build and lead a small tax team as the Group scales. The role will also have responsibility for managing external tax advisory spend across the Group.
Position
Key Responsibilities
Strategy, governance & risk
- Own and develop the Group’s global tax strategy, aligned with commercial objectives and growth/financing plans, acting as central point of expertise for the CFO and senior leadership.
- Establish and maintain a robust tax control framework, risk register and governance across all jurisdictions.
- Monitor international tax developments and assess their impact on the Group.
- Manage relationships with revenue authorities, including audits, interventions, correspondence and voluntary disclosures.
Compliance & reporting
- Oversee accurate, timely corporation tax returns across all jurisdictions, reviewing and challenging external computations and governing outsourced work.
- Manage current and deferred tax provisioning and tax disclosures for statutory financial statements.
- Oversee indirect tax, employment/payroll tax risk, and withholding tax on cross border dividends, interest and royalties, ensuring treaty relief is correctly claimed.
- Drive continuous improvement and automation in compliance and reporting, monitoring group filing deadlines.
Transfer pricing & intercompany financing
- Own the Group’s transfer pricing policy and documentation (Master File, Local Files, country by country reporting), ensuring OECD compliance.
- Lead the pricing, papering and review of intercompany services and loan arrangements, including mark-ups, interest-rate setting and benchmarking.
- Advise on interest deductibility, interest limitation rules and the tax efficient design of the Group’s treasury and financing structures.
Acquisitions, financing & structuring
- Provide tax input across the full M&A lifecycle – evaluation, structuring, execution and post deal integration.
- Lead buy side tax due diligence to identify and quantify risks and opportunities, and advise on tax efficient acquisition, financing and holding structures.
- Support the negotiation of tax warranties, indemnities and provisions in sale and purchase agreements and financing documents.
- Lead post acquisition integration into the Group’s tax, transfer pricing and reporting frameworks, and advise on reorganisations, restructurings and refinancing.
Internal due diligence, statutory accounting & advisory
- Lead internal due diligence and periodic “health-check” reviews to proactively identify and remediate tax and statutory risks across Group entities.
- Advise on statutory accounting matters – tax accounting, provisioning and disclosures – partnering with Group and regional finance and liaising with auditors.
- Provide ad-hoc advisory support on new business models, contracts and jurisdictions, and contribute to entity governance and company secretarial matters where they intersect with tax.
Management of external advisors
- Select, brief, manage and review a panel of external tax, legal and corporate finance advisors, ensuring work is well scoped, high quality and cost effective while retaining oversight in house.
Requirements
What We’re Looking For
Essential
- Significant post-qualification corporate/international tax experience, gained in a multinational group and/or top-tier practice, with a strong grounding in corporation tax and cross border matters.
- M&A tax experience and transfer pricing experience
- Tax accounting and reporting experience and a track record of managing external advisors and communicating complex tax matters to non tax stakeholders.
- A professional tax qualification (a combined tax and accounting qualification is an advantage)
- Excellent technical tax knowledge with strong commercial acumen, analytical and problem solving skills, and high attention to detail.
- Ability to work autonomously and build a function in a fast paced, growing group, with excellent communication, project and stakeholder management skills and high standards of integrity and professional judgement.
Desirable
- Irish tax combined with one or more of UK, Australian, New Zealand or Indian regimes; familiarity with interest limitation rules, withholding taxes and group financing; and awareness of OECD BEPS / Pillar Two.
- Experience in healthcare, technology or software, or in a private-equity-backed / acquisitive group, and exposure to entity governance, directorships or company secretarial matters.
