The Work You’ll Do
As Senior Counsel – APAC, you will play a critical role in managing commercial legal matters across the APAC region, with a strong emphasis on the Indian market. This role partners closely with the India leadership team, APAC sales organization, and global business stakeholders to ensure commercial activity aligns with global standards while remaining locally compliant and commercially pragmatic.
In addition, this role serves as the Company Secretary for the Indian entity, owning all aspects of corporate governance, statutory compliance, and regulatory engagement for our India operations.
You will operate at the intersection of commercial strategy, regulatory compliance, and business enablement—balancing risk management with deal velocity in a fast‑moving, SaaS‑driven environment.
Commercial and Contract Support (APAC)
- Provide legal oversight for all customer contracts and commercial transactions across the APAC region, with a primary focus on India, Singapore, Malaysia, and the U.A.E.
- Lead the drafting, negotiation, and execution of SaaS customer agreements and other technology‑related commercial contracts.
- Partner closely with Sales and internal stakeholders to support deal execution while minimizing legal and regulatory risk.
- Provide strategic legal advice on deal structuring, regulatory considerations, and risk management relevant to India and the broader APAC region.
- Oversee cross‑border commercial transactions, ensuring compliance with applicable international and regional legal standards.
Corporate and Secretarial Compliance (India)
- Ensure full compliance with the Companies Act and all regulations prescribed by the Ministry of Corporate Affairs (MCA).
- Maintain statutory registers and records, including registers of members, directors, and charges.
- Prepare, review, and file all statutory forms, returns, and documents with the Registrar of Companies (ROC) and other regulatory authorities.
- Manage the end‑to‑end process for Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs), including drafting notices, agendas, minutes, and resolutions.
- Ensure timely execution, documentation, and filing of board resolutions, special resolutions, and other corporate actions.
Legal and Regulatory Liaison (India)
- Act as the primary point of contact for external legal counsel and regulatory bodies, including the RBI and ROC.
- Manage compliance with the Foreign Exchange Management Act (FEMA), including matters related to Foreign Direct Investment (FDI), overseas subsidiaries, and External Commercial Borrowings (ECBs).
- Monitor changes in Indian corporate law, regulatory requirements, and governance practices, ensuring ongoing compliance.
- Collaborate with global legal and compliance teams to align local practices with global policies and standards.
Other Responsibilities
- Advise on India‑specific employment law matters, including employee relations, disciplinary actions, terminations, and statutory labor compliance.
- Manage disputes, claims, and litigation matters across the APAC region in coordination with external counsel.
- Support acquisition and post‑acquisition integration activities in APAC, including corporate restructuring and regulatory alignment initiatives.
What We Need From You
- Qualified Company Secretary (CS) with active membership in the Institute of Company Secretaries of India (ICSI).
- Bachelor’s Degree in Law (LLB) is required; LLM is a plus.
- 6–8 years of post‑qualification experience in a legal and company secretarial role, preferably within a multinational or global organization.
- Experience managing compliance for an Indian subsidiary of a foreign parent company.
- Exposure to commercial contracting or corporate matters in Singapore, Malaysia, and/or the U.A.E. is a strong plus.
- Strong commercial judgment, stakeholder management skills, and the ability to balance legal risk with business objectives.
Environmental Job Requirements & Working Conditions
- Primary Location: Navi Mumbai, India
- This is a hybrid role, requiring 3 days per week in the office.
- Minimal travel (less than 25%) may be required, both domestically and internationally, to Sovos locations and events.
