Technosylva exists to reduce the impact of wildfires by providing proactive and actionable intelligence. We provide wildfire risk mitigation software solutions for some of the nation’s largest Investor Owned Utility (IOU) companies, wildfire agencies, and other organizations. Technosylva's suite of wildfire risk analysis products are specifically tailored to meet the needs of electric utilities and government agencies, but are quickly finding traction with an expanding marketplace that will include transmission operators, insurance, and others. We enhance operational and mitigation decision-making with proactive risk forecasting, on-demand fire spread predictions, proprietary weather science, asset hardening analysis, and strengthen regulatory compliance & reporting efforts.

The company has been providing critical solutions for the past 26 years; however, the organization has been on a journey of transformation and rapid growth over the past 3 years, scaling to about 130 employees and providing its product offerings in over 10+ countries. TA Associates, a leading growth PE firm, recently made a significant investment in Technosylva to amplify the company’s mission and continued growth trajectory.

Position Overview

The Counsel candidate will be an intelligent, ambitious, self-starter with a positive attitude and a team-oriented mentality. The successful candidate will work with the General Counsel and be exposed to a wide range of legal issues and opportunities in a high-growth and fast-paced SaaS company. The ideal candidate will be a generalist who has considerable experience with SaaS agreements.

Responsibilities

  • Review, draft, and negotiate SaaS agreements
  • Review, draft, and negotiate a wide range of other agreements, including vendor agreements, service level/support agreements, consultant agreements, marketing agreements, and non-disclosure agreements
  • Take on responsibility for the entire client contracting cycle – from initial draft to execution, working with business teams to drive contract negotiations to timely and successful completion
  • Develop and administer internal processes to assist employees, ensure quick delivery of legal service, and review compliance
  • Manage insurance risk, including overseeing current portfolio and obtaining additional insurance as necessary
  • Assist with legal issues at Spanish entity
  • Perform other job-related duties as required

Competencies

  • You have practiced law for 5-8 years and are currently a member of the bar (in good standing) in a U.S. jurisdiction, and have in-house counsel experience
  • You have experience reviewing and drafting SaaS agreements
  • You have excellent interpersonal, written, and verbal communication skills with the ability to relate comfortably at all levels with business clients (i.e., you are a great communicator and know how to talk and write like a human, rather than like a lawyer)
  • You are a highly motivated, strategic, and detail-oriented individual with the ability to proactively organize a heavy workload with minimal supervision
  • You have excellent business judgment and can provide practical advice
  • You can be flexible, and you thrive in a fast-paced environment
  • You are a team player
